Terms of Service
Effective date: October 25, 2026 · Last updated: October 25, 2026
OnRoster is a service of Inertia Management (“Inertia Management”, “OnRoster”, “we”, “us” or “our”), 8 The Green Ste R, Dover, DE 19901. These Terms of Service (“Terms”) govern your use of the OnRoster website, the market-check form and any calls, texts or emails we exchange with you about OnRoster (together, the “Service”). By using the Service you agree to these Terms. If you are using the Service for a company, you agree for that company and confirm you are authorized to do so.
Please read section 15. It requires most disputes to be resolved by individual binding arbitration and waives class actions, unless you opt out within 30 days.
1. Who we are
OnRoster is a service of Inertia Management (“Inertia Management”, “OnRoster”, “we”, “us” or “our”), 8 The Green Ste R, Dover, DE 19901. You can reach us at hello@inertiamgmt.io.
2. Eligibility
The Service is for businesses. You must be at least 18 years old and able to form a binding contract, and you must use the Service on behalf of a business, such as a roofing, restoration, cleaning, HVAC or other contracting company, or a property, HOA or facility management company. The Service is not intended for consumers seeking work on their own homes.
3. What OnRoster is
OnRoster makes introductions between contractors and property, HOA and facility managers who need work done. We are not a contractor, we do not perform, supervise or inspect any work, and we are not a party to any agreement between a contractor and a manager or property owner. Any bid, contract, price, schedule, payment or warranty for a job is solely between the contractor and the customer.
We do not promise or warrant any number of introductions, meetings, bids, jobs, revenue or other results. Examples, sample messages and reviews on the site are illustrative, and individual results vary.
4. Contractor responsibilities
If you are a contractor, you are solely responsible for your company, your workers and your work, including holding and maintaining any required license, registration, insurance and bonding; obtaining permits; complying with building codes, safety rules and all other laws; the quality, safety and timeliness of your workmanship; and your own pricing, contracts, invoices and taxes. You agree that information you give us about your company, licensing and insurance is accurate and that you will tell us promptly if it changes.
5. Market openings and requests
The site shows markets and their status (for example Open, In talks or Held). Status can change at any time. Submitting the form, checking a market or speaking with us does not reserve, hold or lock in an opening in any market and does not create an agreement. An opening is confirmed only when we confirm it to you in writing and, where fees apply, a separate written agreement is signed by both sides. Joining an early list for an area we do not yet serve does not reserve an opening or set an opening date.
6. Fees
Using the website and submitting the form are free. Any fees for OnRoster are set only in a separate written agreement signed by you and Inertia Management. If that agreement conflicts with these Terms, the signed agreement controls for its subject matter.
7. Your information and communications
You agree that what you submit is accurate and current and that you have the right to submit it. Our Privacy Policy explains how we handle personal information. Calls and texts are optional, depend on the consent choices you make, and are covered by our SMS Terms. You can opt out of texts at any time by replying STOP.
8. Acceptable use
You agree not to: submit false, misleading or someone else’s information; impersonate any person or business; use the Service to send spam or unlawful messages; scrape, copy or harvest data from the Service by automated means; interfere with, probe or attempt unauthorized access to the Service or its systems; upload malware; or use the Service in violation of any law. We may refuse, suspend or remove anyone who breaks these rules.
9. Intellectual property
The Service, including the OnRoster name, logos, text, design, graphics and software, is owned by Inertia Management or its licensors and is protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the website for its intended purpose. You may not copy, modify, distribute or create derivative works from it without our written permission. If you send us feedback, we may use it without obligation to you.
10. Reviews and testimonials
Reviews on the site reflect the experiences of individual contractors. Names may be withheld for privacy. Individual results vary and depend on many factors outside our control, including your market, capacity, pricing, responsiveness and workmanship. Reviews are not a promise that you will achieve similar results.
11. Third-party links and services
The Service may link to or rely on websites and services run by others, such as scheduling, messaging or mapping tools. We do not control them and are not responsible for their content, policies or practices. Your use of them is at your own risk and subject to their terms.
12. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT PERMITTED BY LAW, INERTIA MANAGEMENT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR THAT ANY INTRODUCTION WILL RESULT IN WORK. WE DO NOT VET, ENDORSE OR WARRANT ANY CONTRACTOR, MANAGER, PROPERTY OR JOB.
13. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, INERTIA MANAGEMENT AND ITS OWNERS, OFFICERS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, REVENUE, JOBS, DATA OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE, EVEN IF ADVISED OF THEIR POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID INERTIA MANAGEMENT IN THE 12 MONTHS BEFORE THE CLAIM AROSE OR ONE HUNDRED US DOLLARS. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.
14. Indemnity
You agree to defend, indemnify and hold harmless Inertia Management and its owners, officers, employees and agents from any claims, losses, damages, liabilities, costs and expenses (including reasonable attorneys’ fees) arising from your use of the Service, your breach of these Terms, your violation of any law or third-party right, or any work, bid, contract or dispute between you and any manager, owner or other party.
15. Dispute resolution, arbitration and class action waiver
Informal resolution first. Before starting arbitration or a court case, you and we agree to try to resolve any dispute informally. Send a written notice describing the dispute and the relief sought to hello@inertiamgmt.io or to Inertia Management, 8 The Green Ste R, Dover, DE 19901 (or, for us, to the contact details you gave us). If it is not resolved within 30 days after the notice is received, either side may proceed as below.
Binding individual arbitration. Any dispute, claim or controversy arising out of or relating to these Terms or the Service will be resolved by final and binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator. The arbitration will take place in Delaware, or by video or written submissions if the arbitrator allows. The Federal Arbitration Act governs this section. Judgment on the award may be entered in any court with jurisdiction.
Class action waiver. Disputes will be resolved only on an individual basis. Neither you nor we may bring or take part in any class, collective, consolidated or representative action or arbitration. The arbitrator may not consolidate claims or award relief to anyone other than the individual party.
Small-claims and injunctive relief exceptions. Either side may bring an individual claim in small-claims court if it qualifies, and either side may seek injunctive relief in court to protect intellectual property or stop unauthorized use of the Service.
30-day opt-out. You may opt out of this arbitration agreement by emailing hello@inertiamgmt.io with the subject “Arbitration opt-out” within 30 days after you first accept these Terms, including your name, company and the email or phone number you used with us. Opting out does not affect any other part of these Terms.
Courts. For any dispute not subject to arbitration, you and we agree to the exclusive jurisdiction of the state and federal courts located in Delaware.
16. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules, except that the Federal Arbitration Act governs section 15.
17. Termination
You may stop using the Service at any time. We may suspend or end your access at any time, with or without notice, including if you break these Terms. Sections that by their nature should survive (including 3, 4 and 9 to 16) survive termination.
18. Changes to these Terms
We may update these Terms from time to time. We will post the new version here and update the date above. If a change is material, we will take reasonable steps to let you know. Continued use of the Service after the change takes effect means you accept the new Terms. Changes to section 15 will not apply to disputes already notified to us.
19. General
These Terms, together with our Privacy Policy, SMS Terms and any signed written agreement, are the entire agreement between you and us about the Service. If any part is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets.
